Abstract: In light of the accelerating global shifts toward diversifying energy sources and reducing dependence on fossil fuels, Algeria has adopted an ambitious national program to develop renewable energies and activate the energy transition, in a manner that ensures energy security and strengthens the foundations of sustainable development. In this context, the need emerged for a contractual framework capable of accommodating the nature of projects related to alternative energy, given their long duration, technical, environmental, and financial commitments, as well as the involvement of both national and foreign parties. This has led to the emergence of a specialized category of agreements known as renewable energy contracts. These contracts are characterized by their technical and legal complexity, as they encompass multiple stages, beginning with preparation, planning, and negotiation, followed by the phases of contract conclusion, implementation, and monitoring of parties' obligations, and ending with the termination of the contract, transfer of ownership, or cessation of activity. The Algerian State constitutes a key party in such contracts, either through its public institutions or in its capacity as the sovereign authority over natural resources, which entails a set of legal obligations aimed at ensuring an environment conducive to investment and the acquisition of foreign technology and expertise. Conversely, the foreign investor is required to implement the projects in accordance with the agreed technical and environmental standards and to comply with national legislation governing energy, the environment, and investment. These contracts raise several legal issues, particularly concerning their effects, including ownership transfer, guarantees, liability, and the mechanisms available for resolving arising disputes. This study aims to analyze the legal framework governing renewable energy contracts in Algeria, highlighting the particular nature of the contractual relationship between the State and the foreign investor and identifying the key mutual obligations between them. It also examines the legal effects resulting from contract termination or breach of obligations, in addition to shedding light on the competent bodies responsible for resolving disputes related to renewable energy contracts, whether at the national or international level, given the cross-border nature of these projects. Accordingly, this study seeks to provide an in-depth legal analysis of this modern type of contract, contributing to the enhancement of the Algerian legislative framework and making it more attractive to foreign investment in the renewable energy sector. | |
